Terms & Conditions

The legal terms governing your use of the Viantrix platform, APIs, SDKs, telephony, and related services.

1. Acceptance of Terms

By accessing or using any Viantrix Services—including the website, console, APIs, SDKs, telephony, integrations, or related documentation—you agree to be bound by these Terms. If you are accepting on behalf of an entity, you represent that you have authority to bind that entity; in that case, “you” and “your” refer to that entity.

If you do not agree to these Terms, do not access or use Viantrix.

2. Definitions

Term Meaning
Account Your registered Viantrix tenant and associated credentials.
Admin Authorized user with elevated permissions for the Account.
Agent Virtual persona configured to handle voice interactions.
Flow Conversation workflow defining interaction logic.
Content Inputs you or end users provide (audio, text, metadata).
Output Model- or system-generated responses (audio, text, signals).
Telephony Services PSTN/SIP connectivity, routing, caller ID, and related features.
DLT Distributed Ledger Technology registration mandated in India for communications compliance.
Consent Explicit permission required by applicable law to contact or record individuals.
Personal Data Information relating to an identifiable person; includes Sensitive Data by law.
Subprocessor Third party engaged by Viantrix to process Personal Data.
Effective Date The date these Terms are posted as effective or as otherwise agreed.
Documentation Official Viantrix docs, guides, SDK references, and specifications.
Marks Viantrix names, logos, and brand identifiers.
Force Majeure Events beyond a party’s reasonable control (e.g., outages, disasters, war).
SLA Service Level commitments as set out in Section 11.

3. Eligibility & Accounts

  • You must have legal capacity to contract and provide accurate Account information.
  • You are responsible for safeguarding credentials and all activity under your Account.
  • Admins must ensure role-appropriate access, least privilege, and up-to-date notice emails.

4. Acceptable Use (Permitted & Prohibited)

You may use the Services to build lawful, compliant voice experiences and to test in sandbox environments. You may not:

  • Engage in unlawful, harassing, deceptive, or fraudulent calling; evade DNC/consent rules; spam/robocalls.
  • Infringe IP; reverse-engineer; bypass rate limits; exploit vulnerabilities; scrape call recipient data.
  • Record without required disclosures/consents; train competitive models on Outputs without permission.
  • Transmit child sexual abuse material or promote violence or self-harm.

Enforcement

We may throttle, suspend, or terminate access for abuse, regulatory risk, or violations of these Terms.

5. Voice, Recording & Telephony Compliance

  • You are responsible for obtaining and recording legally valid consents, disclosures, and purpose-limited use.
  • India (TRAI/DLT): Register headers/templates; maintain consent logs; honor opt-outs; no unsolicited commercial calls.
  • US (TCPA/TSR): Obtain prior express consent for marketing; maintain DNC lists; truthful caller ID.
  • Recording/Monitoring: Provide announcements/beep tones where required; set and follow retention and deletion policies.
  • Branded Caller ID: Display is not guaranteed across carriers/devices. You are responsible for accuracy.
  • Voicemail Detection: Best-effort only; you remain responsible for compliance outcomes.

6. AI/ML Output Terms

Outputs are probabilistic and may be incorrect, incomplete, or inappropriate. For high-stakes use cases, implement human review.

  • Do not use Outputs as a substitute for clinical, legal, or financial advice.
  • Comply with published rate limits; do not evade throttling or quotas.
  • We may process inputs/outputs to provide services, improve quality, and ensure safety; enterprise opt-out may be available.

7. Data Protection & Privacy

  • Roles: Customer = Controller; Viantrix = Processor (or CCPA Service Provider).
  • Governed by a separate Data Processing Addendum (DPA) and Privacy Policy.
  • Security: encryption in transit/at rest; access controls; audit logs; least privilege.
  • Subprocessors: maintained list; material changes notified.
  • Retention: configurable defaults; secure deletion on request within SLA timelines.
  • Support data subject rights where applicable (EU/India).

8. Data Residency & Regional Hosting

Regional options (e.g., India/EU/US) may be available. Telephony routing may transiently traverse other regions for carrier interconnects; details are documented in the console. You select regions per project where supported.

9. Fees, Billing & Taxes

  • Pricing per console/order form; metered usage (minutes, API calls, storage, premium engines, regional surcharges).
  • Invoices and due dates apply; late fees may be charged.
  • You are responsible for taxes unless legally exempt.

10. Trials, Beta & Fair Use

Beta features are provided “AS IS”, may change or be withdrawn, and may entail risk of data loss. Use with caution.

We may apply fair-use thresholds to prevent systemic abuse.

11. Service Levels (SLA) & Support

12. Third-Party Services & Integrations

Integrations (e.g., WhatsApp, CRMs, calendars, carriers) are governed by their own terms. Viantrix is not liable for third-party outages, policy changes, or data handling outside our control.

  • Maintain WhatsApp Business compliance (opt-in, approved templates, opt-out persistence).

13. APIs, SDKs & Webhooks

  • Keep API keys confidential; rotate on suspicion of compromise.
  • Follow idempotency and retry/backoff guidance; adhere to versioning and deprecation windows.
  • Respect published rate limits; breaches may trigger throttling.

14. Security, Incidents & Confidentiality

  • You must secure endpoints, credentials, and admin processes; notify us promptly of incidents.
  • Mutual confidentiality applies to non-public information, with standard exceptions (public, independently developed, compelled disclosure with notice).

15. Intellectual Property

Viantrix retains all rights to the Services, software, Marks, and Documentation. You retain ownership of your Content, Inputs, and Outputs, subject to the limited rights granted to Viantrix to provide the Services.

16. Feedback License

You grant Viantrix a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use feedback for product improvement.

17. User Content & License Grants

You grant Viantrix the rights necessary to host, process, and transmit your Content for the purpose of providing the Services and fulfilling your configuration and instructions.

18. Branding & Caller ID

  • Use of Viantrix Marks requires prior written authorization and adherence to brand guidelines.
  • Caller ID branding is not guaranteed; you are responsible for the accuracy and lawfulness of branding data.

19. Compliance, Export & Sanctions

You will not use the Services in embargoed countries or for prohibited end uses. You will comply with all applicable export, re-export, and sanctions laws.

20. Regulated Industries

The Services are not a substitute for professional judgment. Additional certifications or approvals may be required for healthcare, finance, or government uses.

21. Indemnification

You will defend, indemnify, and hold harmless Viantrix from claims arising out of your unlawful calling, lack of required consents, violations of law, or infringement of third-party rights.

22. Warranties & Disclaimers

EXCEPT AS EXPRESSLY SET OUT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

23. Limitation of Liability

To the maximum extent permitted by law, Viantrix’s aggregate liability arising out of or relating to the Services is limited to the fees paid by you for the Services in the twelve (12) months prior to the event giving rise to liability. Viantrix is not liable for indirect, consequential, special, or punitive damages.

24. Suspension, Termination & Survival

  • We may suspend for security, compliance, or material breach. We may terminate for cause with notice if not cured.
  • Upon termination, access ends and data handling follows documented retention/deletion policies.
  • Sections relating to IP, fees, confidentiality, indemnities, disclaimers, and liability survive.

25. Governing Law, Venue & Dispute Resolution

26. Changes to the Terms

We may update these Terms. Material changes will be notified via the console or email. The Effective Date will be displayed. Continued use after the Effective Date constitutes acceptance.

28. Assignment, Subcontracting & Publicity

Assignment requires prior written consent (not unreasonably withheld). Viantrix may subcontract while remaining responsible. Publicity requires mutual consent unless otherwise stated.

29. Miscellaneous

  • Entire Agreement; Waiver; Severability; Force Majeure.
  • Order of Precedence: Order Form → DPA → Terms → Documentation.
  • Government use and COPPA/children’s data restrictions as applicable.
